Terms & Conditions – StruktureSoft LLP

1. Acceptance of Terms

These Terms and Conditions apply to all software, digital, IoT, and technology projects undertaken by StruktureSoft LLP (“we”, “us”, “our”). By engaging StruktureSoft LLP, the client (“you”, “your”) acknowledges that you have read, understood, and agreed to these Terms.
Payment of any deposit or acceptance of a formal quotation constitutes full acceptance of these Terms.

2. Scope of Services

StruktureSoft LLP provides services including (but not limited to):\

• Web-based and cloud application development
• Software modules, API, and integration development
• UI/UX design and system architecture
• IoT product setup and configuration
• Technical documentation and post-deployment support

Any additional tasks, features, or changes beyond the agreed scope will be subject to separate quotation or billed hourly.

3. Payment Terms

Invoices are issued at the commencement of the project. Full payment is due prior to the release or deployment of the final deliverables, unless otherwise agreed in writing.

• A non-refundable deposit (as stated in the quotation) is required to initiate the project.
• Milestone payments may apply for larger projects.
• Final delivery and transfer of code, documentation, or credentials will occur only after full payment.
• Late payments beyond 30 days will incur a 3% monthly interest and may be forwarded to a debt collection agency, with associated recovery costs borne by the client.

4. Project Timelines and Client Delays

Project timelines are provided as estimates only. StruktureSoft LLP will not be liable for delays caused by client inaction, scope changes, third-party dependencies, or force majeure events.
If a project is delayed by the client for more than 14 days, StruktureSoft LLP reserves the right to invoice for the work completed to date.

5. Revisions and Modifications

The quoted price includes modification scope and revisions as stated in the quote document. Major functional changes, redesigns, or structural alterations will be treated as new work and quoted separately.
Once the project is approved or deployed, any further changes will incur additional charges.

6. Ownership and Intellectual Property (IP)

All intellectual property, source code, designs, and related materials remain the property of StruktureSoft LLP until full payment is received.
Upon settlement of all dues:

• You will receive a license to use the developed software or system for your intended business use.
• StruktureSoft retains ownership of the underlying source code, frameworks, and proprietary tools used in development unless otherwise agreed in writing.

Unauthorized use, resale, duplication, or modification of our code, design, or documentation is strictly prohibited.

7. Support and Maintenance

Post-deployment support (bug fixes, hosting assistance, or technical consultation) will be provided as per the terms in the project agreement.

• Any ongoing maintenance or feature updates beyond the warranty period will be billed separately.
• StruktureSoft LLP is not responsible for issues arising from external system changes, third-party APIs, or hosting environments.

8. Subcontracting and Third-Party Services

StruktureSoft LLP may engage subcontractors, partner firms, or third-party service providers to deliver components of your project. All subcontractors operate under confidentiality and data protection agreements.

9. Confidentiality and Data

Both parties agree to maintain confidentiality of all project information, proprietary data, and business communications.
StruktureSoft LLP follows industry-standard data protection practices but will not be liable for breaches caused by third-party integrations, client negligence, or external cyber incidents.

10. Liability and Disclaimer

StruktureSoft LLP strives to deliver high-quality, error-free, and timely solutions. However:

• We do not guarantee that software will be completely error-free or compatible with all environments.
• We are not liable for indirect, special, or consequential damages, including loss of data, revenue, or business reputation.
• Our total liability under any claim will not exceed the total amount paid for the project.

11. Termination and Cancellation

Projects confirmed in writing cannot be canceled without written agreement. If a project is canceled midway by the client:

• All completed work up to that date will be invoiced and payable immediately.
• Deposits are non-refundable.

If StruktureSoft LLP terminates the project due to breach of agreement or non-payment, all work produced remains our property.

12. Force Majeure

We are not liable for any failure to perform due to events beyond our control, including strikes, natural disasters, internet outages, war, or government restrictions.

13. Transfer and Transaction Fees

All payments are subject to a 10% Transfer & Exchange Fee to cover transaction and currency conversion costs where applicable.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of India, and any disputes shall fall under the jurisdiction of courts in Agra, India.
